TERMS AND CONDITIONS OF SALE

These Terms and Conditions (“Terms”) govern the purchase of all fresh produce (the “Products”) and delivery services provided by MPA Farm Ltd. (“the Company”). By placing an order or subscribing to a Service, the Customer (“you”) agrees to be bound by these Terms.

 

1.  CUSTOMER STATUS & CONTRACT FORMATION

  • Capacity: By placing an order, you warrant that you are at least 18 years old and legally capable of entering into binding contracts.
  • Serviced Territory: We currently only accept orders from residents within our designated service areas in British Columbia.
  • Acceptance: Your order constitutes an offer to buy A contract is only formed when we send you a “Confirmation Email. We reserve the right to refuse or cancel any order at our sole discretion, including for reasons of product availability, suspected fraud, or errors in pricing.
  • Recurring Charges: By signing up for a subscription, you acknowledge that your service has an initial and recurring payment feature. You accept responsibility for all recurring charges prior to deactivation.
  • Auto-Renewal: Following your initial period, your subscription will automatically extend for successive periods of the same length at the then-current rate.
  • Deactivation Policy: You may deactivate your subscription at any To avoid being charged for the next scheduled harvest, you must deactivate at least Seven (7) days prior to your scheduled delivery date.

 

3.  THE FRESH-HARVEST MODEL & SUBSTITUTIONS

  • Grow-to-Order: MPA Farm operates on a fresh-harvest, grow-to-order model.
  • Substitutions: Agriculture is unpredictable. If a specific variety is unavailable due to crop health or yield issues, the Company reserves the right to substitute a Product of similar type and quality. We will make reasonable efforts to notify you via email or at the time of delivery.

 

4.  DELIVERY, RISK, AND TITLE

  • Risk and Title: Transfer of title and risk of loss occurs when the Products arrive and are delivered at your specified delivery address (“FOB Destination”).
  • Unattended Delivery: Unless otherwise agreed, deliveries are “unattended.” The Products will be at your risk from the time of delivery (e.g., porch, lobby, or doorstep).
  • Maintenance & Cooler Recommendations: Microgreens are highly temperature-sensitive. It is a condition of service that Customers provide a clean, insulated cooler box at the delivery

    • Assumption of Risk: If no cooler is provided, or the provided cooler is insufficient, MPA Farm Ltd. is not liable for products that wilt, spoil, freeze, or degrade due to environmental

 

5.  HEALTH, ALLERGY & FOOD SAFETY

  • No Medical Claims: Any information provided regarding nutrient density is for educational purposes and is not medical advice.
  • Allergen Notice: Products are grown in a facility that may handle various plant families. We cannot guarantee the total absence of cross-contamination.

6.  PERISHABLE GOODS & REFUNDS

  • No-Return Policy: As our Products contain fresh and perishable food, we do not accept returns. All sales are final.
  • Quality Claims: Any claims regarding quality or missing items must be reported to orders@mpafarm.ca within 12 hours of the delivery timestamp. You must provide clear photographic evidence of the product in its received state.Claims made after 12 hours or without required photos are ineligible for any credit, refund, or replacement.”.

 

 

7.  LIMITATION OF LIABILITY

  • General Limitation: To the maximum extent permitted by the laws of British Columbia and Canada, MPA Farm Ltd.’s total aggregate liability to you for any and all claims, losses, or damages arising from your purchase or use of the Products, whether based in contract, tort (including negligence), or any other theory, shall not exceed the purchase price you paid for the specific order giving rise to the claim.

 

  • Exclusion of Consequential Damages: In no event shall we be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or data, even if advised of their possibility.

 

  • Non-Excludable Liabilities: The limitations above do not apply to liability for:

 

  • Personal injury or death caused by our negligence or willful misconduct
  • Our gross negligence or willful misconduct
  • Any liability that cannot lawfully be limited under the British Columbia Business Practices and Consumer Protection Act

 

 

8.  MODIFICATIONS TO TERMS AND SERVICES

  • Right to Amend: MPA Farm Ltd. reserves the right to change, modify, or update these Terms, including pricing and delivery fees, at any time.
  • Notification: Changes will be effective immediately upon posting to the Website with an updated “Effective Date.” For active subscribers, we will provide at least thirty (30) days’ notice via email for any material changes (such as price increases).
  • Acceptance: Continued use of the Service or placement of new orders after changes are posted constitutes your acceptance of the revised Terms.

 

 

9.  FORCE MAJEURE

The Company shall not be liable for any failure to perform resulting from causes outside its reasonable control, including but not limited to: Acts of God, extreme weather, crop failure, pests/ disease, power outages, or transportation disruptions, lack of supply of seeds or grow mediums .

 

10.  GOVERNING LAW

These Terms are governed by the laws of the Province of British Columbia. Any disputes shall be resolved exclusively in the courts of British Columbia.
